ENTERPRISE PLATFORM AGREEMENT

Terms of Service

These Master Platform Terms govern enterprise use of ConnectPoint's remote visual inspection, live audio collaboration, and cryptographic Proof-of-Evidence infrastructure across maritime vessels, offshore assets, dockyards, and industrial facilities.

ARTICLE 01

Acceptance & Platform Scope

These Master Terms of Service (“Terms”) constitute a legally binding contract between ConnectPoint Limited (“ConnectPoint”, “we”, “us”) and the enterprise entity subscribing to or accessing the platform (“Customer”, “Subscriber”, “you”).

ConnectPoint delivers high-definition, sub-second live video streaming, two-way audio collaboration, live multilingual translation, and cryptographic Proof-of-Evidence sealing. The service is engineered specifically for commercial vessels, offshore oil & gas rigs, wind turbines, dockyard refits, and port logistics.

Authority to Bind

By executing an Enterprise Order Form, activating a fleet subscription, or authorizing personnel to access the platform, you represent and warrant that you possess full corporate legal authority to bind your organization to these Terms.

ARTICLE 02

Enterprise Accounts & Authorized Roles

Access to ConnectPoint is role-governed to maintain strict operational chain-of-custody. Customers may authorize multiple distinct participant profiles:

Frontline Crew & Inspectors

Operating DJI drones, DJI Pocket 4 cameras, or hands-free POV camera glasses on board the vessel or asset.

Technical Superintendents Ashore

Directing inspections, evaluating hull/machinery conditions, and managing fleet technical operations.

Classification & Insurers

Third-party surveyors (e.g. DNV, Lloyd’s Register) and P&I club adjusters joining remote witness sessions via secure single-use link.

OEM Equipment Specialists

Manufacturer technicians joining remote diagnostic calls without incurring expensive ocean flights or port standby.

Customers are solely responsible for managing account credentials, deactivating departed personnel, and supervising guest links issued to external surveyors or vendors.

ARTICLE 03

Hardware Integration & Uplink Dependencies

ConnectPoint embraces an open, hardware-independent architecture. Shipowners and industrial operators select the capture equipment suited to their inspection scope:

  • Approved Capture Devices: Includes DJI Enterprise/Consumer Drones, DJI Pocket 4, POV camera glasses, intrinsically safe ATEX beacons, and standard mobile cameras connecting via ConnectPoint APIs.
  • Satellite & Terrestrial Uplinks: ConnectPoint relies on available site networks, multi-cellular bonding, and Low Earth Orbit satellite uplinks (including Starlink Maritime and VSAT).
  • Customer Hardware Obligations: The customer remains responsible for maintaining device firmware, battery readiness, intrinsic safety approvals in explosive cargo spaces (ATEX/IECEx), and authorized satellite bandwidth.
ARTICLE 04

Master-at-Sea Command & Operational Safety Disclaimer

CRITICAL MARITIME LEGAL NOTICE: Preservation of Master-at-Sea Authority

1. SOLAS & Maritime Law: Under international maritime law, the International Convention for the Safety of Life at Sea (SOLAS), and relevant flag-state regulations, the Master of the vessel retains sole, absolute, and uncompromised command over the navigation, safety, and operational conduct of the vessel and its crew.

2. Decision-Support Telemetry Only: ConnectPoint is a real-time observation, communication, and digital evidence recording tool. It does NOT command, operate, navigate, or pilot vessels, offshore rigs, or industrial plant machinery. Advice rendered by remote superintendents, OEMs, or surveyors across the platform constitutes operational guidance to assist the on-site team, not an assumption of legal command.

3. On-Site Stop-Work Authority: The on-site frontline team and ship’s crew retain full authority to pause or terminate any inspection if hazardous weather, sea state, toxic gases, or structural instabilities endanger human life or asset integrity.

ARTICLE 05

Customer Ownership & Intellectual Property Rights

Ownership of Customer Evidence: The Customer exclusively retains all right, title, and interest (including all copyright and intellectual property rights) in and to all live and recorded video feeds, audio recordings, inspection transcripts, photographs, sensor logs, and evidence packages captured via ConnectPoint.

License to ConnectPoint: Customer grants ConnectPoint a non-exclusive, worldwide, royalty-free, limited license solely to process, compress, route, cryptographically hash, and store customer content as strictly necessary to fulfill our service commitments to the Customer.

ConnectPoint Intellectual Property: ConnectPoint and its licensors retain all right, title, and interest in and to the platform software, WebRTC routing algorithms, cryptographic sealing schemas, user interfaces, documentation, APIs, and the ConnectPoint name and brand marks.

ARTICLE 06

Proof of Evidence & Cryptographic Integrity

The Checkable Record Protocol

When an inspection session is sealed, ConnectPoint applies cryptographic hashing (SHA-256) binding the video stream, participant attendance roster, audio dialogue, GPS coordinate context, and hardware timestamps into an unalterable digital package.

Downstream parties (including insurance claims adjusters, marine arbitration tribunals, and classification surveyors) can independently verify the hash to confirm whether the record has been altered since the moment of capture.

ARTICLE 07

Commercial Terms & Fleet Subscriptions

Indicative annual license per active vessel or offshore installation, including unlimited remote inspection rooms, live two-way voice, 65+ language transcription, and cryptographic evidence archiving.

30 min ≈ $12,500

At an illustrative offshore rig day rate of $600,000, avoiding a single 30-minute operational delay or offshore surveyor transit fully covers the platform investment.

  • Payment Terms: Enterprise invoices are payable within 30 days of invoice date unless otherwise specified in an active Order Form.
  • Taxes: All fees are exclusive of VAT, sales taxes, or maritime withholding duties, which remain the Customer’s obligation.
  • Renewal: Annual subscriptions renew automatically for successive 12-month periods unless either party provides written notice of non-renewal at least 60 days prior to expiry.
ARTICLE 08

Latency & Service Availability

ConnectPoint targets sub-second glass-to-glass latency (< 1s, with field-test benchmarks observing ≈0.5s across global multi-hop relays) and 99.9% platform availability across core relay infrastructure.

Offshore Satellite Realities: The Customer acknowledges that vessels operate in extreme marine environments. Video throughput and stream latency are dependent upon satellite line-of-sight, antenna stabilization, vessel motion, weather attenuation (rain fade), and regional telecommunications regulations. Temporary degradation attributable to upstream satellite carriers does not constitute a platform breach.

ARTICLE 09

Limitation of Liability & Critical Path Damages

COMMERCIAL RISK ALLOCATION NOTICE

Please read this section carefully as it allocates commercial risk in high-stakes maritime and offshore environments:

  • Waiver of Consequential & Downtime Damages: To the maximum extent permitted by applicable law, in no event shall either party be liable for any indirect, incidental, special, punitive, or consequential damages, or for loss of profits, vessel charter hire, rig downtime, demurrage, business interruption, cargo spoilage, or surveyor standby costs, even if advised of the possibility of such damages.
  • Aggregate Liability Cap: Except for willful misconduct, gross negligence, or indemnification obligations, each party’s total aggregate cumulative liability under or relating to these Terms shall be strictly capped at the total subscription fees actually paid by Customer to ConnectPoint during the twelve (12) months preceding the event giving rise to liability.
ARTICLE 10

Confidentiality & Non-Disclosure

Both parties agree that all confidential information disclosed during the term—including proprietary hull designs, machinery schematics, casualty damage assessments, incident reports, trade secrets, pricing, and operational telemetry—shall be maintained in strict confidence.

Neither party shall disclose confidential information to any third party, except to authorized employees, contractors, insurers, and classification societies bound by confidentiality obligations at least as restrictive as those herein.

ARTICLE 11

Term, Termination & Post-Termination Data Retrieval

Either party may terminate an Order Form or these Terms for cause if the other party commits a material breach and fails to cure such breach within thirty (30) days of receiving written notice.

Post-Termination Evidence Retrieval (60-Day Grace Period)

Upon expiration or termination, ConnectPoint will make Customer’s cryptographically sealed Proof-of-Evidence archives available for download in standard open formats for sixty (60) days. Following this period, all customer inspection media will be permanently and securely scrubbed from ConnectPoint servers in compliance with certified data destruction protocols.

ARTICLE 12

Governing Law & Dispute Resolution

These Terms, and any dispute, controversy, or claim arising out of or in connection with them, shall be governed by and construed in accordance with the substantive laws of the United Arab Emirates as applicable in the Emirate of Ras Al Khaimah (RAK International Corporate Centre), or, where explicitly agreed in an Enterprise Order Form, the laws of England and Wales.

Any dispute not settled amicably within forty-five (45) days shall be referred to and finally resolved by commercial arbitration under the Arbitration Rules of the Dubai International Arbitration Centre (DIAC) or the London Court of International Arbitration (LCIA), by one or more arbitrators appointed in accordance with said Rules. The language of arbitration shall be English.
